Job Title: CFO

Location for the position: NYC

Summary: The Chief Financial Officer will have responsibility for leading and managing the company’s finance function and for guiding it through the IPO process. S/he will be a strategic advisor and business partner to the CEO and the executive leadership team on financial and business issues. The CFO will be responsible for leading the finance function of the corporation in accordance with US GAAP, the requirements of regulatory agencies and practices appropriate within the industry. Functional responsibilities include accounting and financial reporting, corporate control, financial planning and analysis, collaboration on treasury matters and corporate finance, risk management and insurance and tax. As a member of the executive leadership team, the CFO will be expected to provide input on the strategic direction of the company. S/he will be expected to perform his/her duties in a manner that balances strategic thinking with hands-on and engaged operational and functional leadership. Further, in partnership with the CEO, the CFO will serve as the face of the company to the Board of Directors, shareholders, Wall Street analysts and bankers.

Job Duties:

Responsibilities Overall Responsibilities • Actively partner with the Chief Executive Officer and other senior management, thereby having a strong influence on the operations and strategy of the Company. • Develop and prioritize future capitalization strategies and manage the overall balance sheet. • Interface with many of the Company’s stakeholders (investors, lenders, bankers, analysts, rating agencies, etc.) to include participating in investor presentations. • Interface with the Board of Directors on a regular basis and, in particular, lead the interaction with relevant Committees of the Board to ensure timely and accurate information is provided pursuant to their responsibilities. • Maintain the Company’s financial integrity. • Oversee a forward-looking financial planning and analysis capability throughout the Company, with regular communication between operating leaders and the finance team. • Direct a dedicated finance team and build the business systems and processes required. • Act as a catalyst to support change initiatives in concert with the senior management team. • Provide strong oversight of financial controls, measurements and systems. • Lead the company in strategic risk management. • Continue to evolve strategy to maximize shareholder value. • Serve as a Brand Ambassador for PalliaTech at external corporate and internal events. Planning • Provide counsel on sound financial strategy, policies and practices. • Review the financial impact of major business decisions and operational issues. • Participate in strategic and business planning and in setting financial goals and objectives for the company and its functional units. • Plan and implement all financial strategies outlined by the Executive Team and the Board of Directors. Financial Management and Controls • Direct the analysis and development of budgets in coordination with the long-term planning function. • Prioritize capital spending to ensure that long-term investments are optimized and align with PalliaTech’s long-term strategic vision. • Analyze, interpret and report operating results; lead initiatives that result in cost reduction and profit improvement. • Direct and approve policies and systems necessary to provide required financial services internally and maintain proper records and controls. • Review all investment analyses, strategic contracts and conducts financial due diligence. • Ensure compliance with SOX, SEC, state and local, and international and statutory requirements. • Interact with external auditors and scope of work to ensure compliance with fiscal and legal requirements. Treasury Collaboration • Will collaborate with the Treasurer on the responsibilities outlined below: o Manage the capital structure to provide adequate capital, maximize cash flow and minimize financial risk. Maintain an excellent understanding of capital markets, and plan for and provide for adequate liquidity for the company. o Manage and ensure the company’s compliance with financing arrangements in terms of reporting requirements and covenants. o Execute cash flow forecasting to manage the company’s cash position, short term investments and credit lines to provide for adequate liquidity. o Develop and maintain effective day-to-day relationships with the commercial banks and credit rating agencies. o Provide leadership, working across the businesses to proactively bring value to the operations. o Support business development activities and investments in the business as necessary including projections models, valuation modeling, transaction financing and structuring and integration. o Analyze and manage the company’s bank account structure and treasury operations system. o Provide optimal insurance programs to cover identified risks. Financial Reporting and Analysis • Review all formal accounting procedures, processes and administration, recommending improvements to the financial information systems in place and managing those systems going forward. • Prepare internal reports, including monthly, quarterly and annual financial operating reports, as well as analyses of key metrics. • Oversee and direct the preparation and issuance of PalliaTech’s statutory reporting, as well as management reporting. Investor Relations • Actively lead and build external relationships while partnering with the CEO to develop and communicate the company story through institutional conferences, road shows, earnings releases, conference calls, and printed and other visual media. • Advise the CEO and the Board of Directors on key investor issues including concerns that impede valuation as well as guidance and dividend policies. Tax • Lead, direct, manage and oversee a diverse range of US tax planning, research and audit activities. • Provide support for a company with international operations accounting for income tax and tax compliance matters. • Oversee all aspects related to the preparation and filing of tax returns for PalliaTech. • Work as a business partner and interface closely with corporate and business leaders and their staff to develop and implement strategies which minimize the company’s income tax expense and liability. • Insure that all merger and acquisition activities are accounted for in accordance with applicable GAAP regulations and are structured to maximize tax efficiency. Risk Management • Manage the company’s risk profile including driving policies, procedures, and compliance. • Develop and execute strategic fuel hedging initiatives to capitalize on market conditions and preserve PalliaTech’s competitive position. • Review risk analyses, and determine and monitor requirements, coverage and renewals. • Oversee the security of the company’s physical assets.

Background Requirements:
Pivotal Experience & Expertise • Diverse technical background: Stand-alone experience as a CFO gained through an IPO or a public company with a high growth environment – with a preference for the consumer product, retail or similar manufacturing/distribution led sectors. The executive should have experience across multiple financial disciplines including target setting, planning and forecasting, performance reporting standards and governance, decision support and business process leadership. • Business partner orientation: Business-minded and able to dig deep into detail, yet maintain perspective on the broad business objectives. Comfortable addressing either level of detail, based on the audience. Anticipates future consequences, challenges the status quo and persists despite obstacles. • Shapes business strategy: Able to complement the CEO and senior team as a thought partner and strategist for the business. Astute regarding diverse profit and cost levers, market analysis and customer strategies. Ideally viewed as a potential successor to the CEO. • Growth orientation: Highly entrepreneurial mindset with a genuine “sleeves rolled up” style. Experience in M&A, including the vision to identify and create new initiatives to drive additional value and growth. Equally important is experience with integration activities related to financial reporting and achievement of synergies of acquired entities. • Education: A bachelor’s degree is required.
